These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Andrei Nefedev, the owner and operator of EstimAIte ("EstimAIte," "we," "our," or "us").

By accessing or using EstimAIte's website, applications, APIs, or related services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements to use the Services.

If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Our Services

EstimAIte is an AI-powered software platform designed to assist contractors, estimators, and construction professionals with generating construction estimates and related project information.

The Services may include:

  • AI-generated construction estimates
  • Material calculations
  • Labor estimates
  • Project organization
  • Cost summaries
  • Customer management features
  • Reporting tools
  • Subscription services
  • Future features and integrations

We may modify, improve, suspend, or discontinue any part of the Services at any time.

3. Accounts

You must create an account to access certain features.

You agree to provide accurate and complete information when registering.

You are responsible for:

  • Maintaining accurate account information
  • Protecting your password
  • Maintaining the security of your account
  • All activity occurring under your account

You must immediately notify us of any unauthorized access or suspected security breach.

4. Authentication

EstimAIte currently supports:

  • Email and password authentication
  • Google Sign-In

If you authenticate using Google, your use of Google's authentication services is governed by Google's own terms and privacy policies.

EstimAIte never receives or stores your Google password.

5. Subscription Plans

Certain features require a paid subscription.

Subscription plans, pricing, usage limits, and available features are described on our website.

Subscriptions may include:

  • Monthly plans
  • Annual plans
  • Promotional plans
  • Free trials (when offered)

Features available under one subscription tier may not be available under another.

We reserve the right to change pricing, features, or subscription offerings. Changes will not affect your current billing period unless otherwise permitted by law.

6. Billing and Payments

Paid subscriptions are processed through Stripe.

By purchasing a subscription, you authorize Stripe to charge your selected payment method for all applicable fees and taxes.

Unless otherwise stated:

  • Subscription fees are billed in advance.
  • Payments are non-refundable except where required by law or expressly stated in a refund policy.
  • Applicable taxes may be added where required.

If payment cannot be processed, we may suspend or terminate access to paid features until payment is successfully completed.

7. Automatic Renewal

Unless cancelled before the renewal date, subscriptions automatically renew for successive billing periods.

You may cancel your subscription through your account settings or by contacting customer support.

Cancellation prevents future renewals but does not automatically entitle you to a refund for the current billing period.

8. Free Trial Offers

We may offer free trials from time to time.

Unless otherwise stated, your subscription will automatically convert to a paid subscription at the end of the trial period unless cancelled before the renewal date.

Eligibility for free trials is determined solely by EstimAIte.

9. Customer Content

You retain ownership of all content that you submit to the Services, including:

  • Project information
  • Estimate data
  • Text prompts
  • Notes
  • Customer information
  • Uploaded files
  • Other materials you provide

You grant EstimAIte a limited, non-exclusive, worldwide license to host, process, transmit, and display your content solely for the purpose of providing the Services.

Except as described in our Privacy Policy or required by law, we do not claim ownership of your content.

10. AI Services

EstimAIte incorporates artificial intelligence provided through Anthropic's commercial API.

When you submit prompts to AI features:

  • Your text prompts are transmitted to Anthropic solely to generate responses.
  • At this time, uploaded images, plans, blueprints, and project documents are not transmitted to Anthropic.
  • AI responses are generated automatically and may contain errors, omissions, outdated information, or inaccurate calculations.

You acknowledge that AI-generated output is intended to assist your work and should always be independently reviewed before use.

11. No Professional Advice

EstimAIte provides software tools only.

The Services do not provide:

  • Engineering advice
  • Architectural advice
  • Construction supervision
  • Legal advice
  • Financial advice
  • Tax advice
  • Insurance advice
  • Professional estimating certification

You remain solely responsible for verifying all estimates, pricing, quantities, specifications, labor assumptions, and project information before relying on them.

12. Customer Responsibilities

You are solely responsible for:

  • Reviewing AI-generated estimates
  • Confirming material quantities
  • Verifying labor calculations
  • Checking local pricing
  • Ensuring code compliance
  • Reviewing project specifications
  • Preparing final bids and contracts
  • Complying with applicable laws and regulations

EstimAIte does not guarantee that generated estimates are accurate, complete, or suitable for any specific project.

13. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property rights of others.
  • Upload malicious software, viruses, worms, ransomware, or other harmful code.
  • Attempt to gain unauthorized access to the Services or other user accounts.
  • Interfere with or disrupt the security or operation of the Services.
  • Reverse engineer, decompile, or attempt to discover the source code of the Services, except where expressly permitted by applicable law.
  • Use automated tools, bots, or scripts to access the Services in a manner that exceeds reasonable use or circumvents usage limits.
  • Use the Services to develop or improve a competing product or service.
  • Submit content that is unlawful, defamatory, fraudulent, abusive, threatening, harassing, or otherwise objectionable.
  • Misrepresent your identity or affiliation with another person or organization.
  • Share your account credentials with others.

We reserve the right to investigate suspected violations and suspend or terminate accounts that violate these Terms.

14. AI Usage and Limitations

EstimAIte uses artificial intelligence to generate estimates and related content.

Artificial intelligence is probabilistic and may produce inaccurate, incomplete, inconsistent, or outdated results.

You acknowledge and agree that:

  • AI-generated content may contain factual, mathematical, pricing, or construction errors.
  • AI-generated estimates should never be considered final without human review.
  • EstimAIte does not guarantee the accuracy or completeness of AI output.
  • You remain solely responsible for reviewing all estimates before submitting proposals, signing contracts, ordering materials, or beginning construction work.

AI-generated output is intended as a productivity tool and not as a substitute for professional judgment.

15. Customer Content

You retain ownership of all project information and other content you submit to the Services.

By submitting content, you grant EstimAIte a limited, worldwide, non-exclusive, royalty-free license to:

  • Store your content.
  • Process your content.
  • Display your content to you.
  • Back up your content.
  • Transmit your content as necessary to operate the Services.
  • Use your content solely to provide and improve the Services.

This license terminates when your content is deleted from our systems, except to the extent retention is required by law or reasonably necessary for backup, security, dispute resolution, or legal compliance.

16. Intellectual Property

Except for Customer Content, the Services and all related materials are owned by EstimAIte or its licensors.

This includes, without limitation:

  • Software
  • Source code
  • User interface
  • Design
  • Logos
  • Trademarks
  • Service marks
  • Documentation
  • Databases
  • Graphics
  • Text
  • AI workflows
  • Features
  • Functionality

No ownership rights are transferred to you under these Terms.

Subject to your compliance with these Terms, EstimAIte grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

17. Feedback

If you voluntarily provide suggestions, feature requests, comments, ideas, or other feedback regarding the Services, you grant EstimAIte a perpetual, irrevocable, worldwide, royalty-free license to use, modify, reproduce, publish, and incorporate that feedback into the Services without compensation or attribution.

18. Third-Party Services

The Services may integrate with or rely upon third-party providers, including services for:

  • Artificial intelligence
  • Authentication
  • Payment processing
  • Analytics
  • Cloud infrastructure
  • Email delivery

Your use of those third-party services may also be governed by their own terms and privacy policies.

EstimAIte is not responsible for the products or services provided by third parties.

19. Service Availability

While we strive to maintain reliable access to the Services, we do not guarantee uninterrupted availability.

The Services may be unavailable due to:

  • Scheduled maintenance
  • Emergency maintenance
  • Internet outages
  • Third-party service interruptions
  • Security incidents
  • Software updates
  • Events beyond our reasonable control

We may suspend access to the Services when reasonably necessary to maintain security, stability, or legal compliance.

20. Beta Features

From time to time, we may offer experimental or beta features.

Beta features are provided "as is" and may:

  • Contain bugs.
  • Change substantially.
  • Be discontinued at any time.
  • Produce inaccurate or incomplete results.

We are under no obligation to continue offering any beta feature.

21. Suspension and Termination

We may suspend or terminate your account immediately if we reasonably believe that you:

  • Violate these Terms.
  • Engage in fraudulent activity.
  • Attempt unauthorized access to the Services.
  • Abuse or misuse the Services.
  • Fail to pay applicable subscription fees.
  • Create legal or security risks for EstimAIte or other users.

You may stop using the Services and cancel your account at any time.

Termination does not relieve you of obligations incurred before termination, including payment obligations.

22. Availability of Customer Content After Termination

Following termination or cancellation of your account:

  • Access to your account may be disabled.
  • Certain data may remain available for a limited period to facilitate account recovery where applicable.
  • We may delete Customer Content in accordance with our Privacy Policy and data retention practices.
  • We may retain limited information where required by law or reasonably necessary to resolve disputes, enforce our agreements, detect fraud, or comply with legal obligations.

You are responsible for exporting or retaining copies of your content before closing your account.

23. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTIMAITE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY
  • SECURITY
  • QUIET ENJOYMENT

We do not warrant that:

  • The Services will be uninterrupted.
  • The Services will be error-free.
  • AI-generated estimates will be accurate.
  • Defects will always be corrected.
  • The Services will meet your specific business requirements.
  • The Services will always be secure or free from harmful components.

You use the Services entirely at your own risk.

24. AI Disclaimer

EstimAIte uses artificial intelligence to assist with construction estimating.

Artificial intelligence may generate:

  • Incorrect pricing
  • Incorrect quantities
  • Incorrect calculations
  • Outdated information
  • Incomplete recommendations
  • Hallucinated or fabricated information

AI-generated content is provided solely as an informational and productivity aid.

You are solely responsible for:

  • Reviewing all AI output.
  • Confirming pricing.
  • Verifying measurements.
  • Confirming material quantities.
  • Reviewing labor estimates.
  • Ensuring code compliance.
  • Verifying project specifications.
  • Making all final business decisions.

EstimAIte is not responsible for decisions made based on AI-generated output.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTIMAITE, ITS OWNER, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Loss of goodwill
  • Loss of data
  • Business interruption
  • Cost overruns
  • Construction delays
  • Procurement of substitute services

WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTIMAITE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • THE TOTAL AMOUNT YOU PAID TO ESTIMAITE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID FOR THE SERVICES.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

26. Indemnification

You agree to defend, indemnify, and hold harmless EstimAIte, Andrei Nefedev, affiliates, contractors, licensors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your Customer Content.
  • Your misuse of AI-generated content.
  • Your infringement of another person's rights.

27. Force Majeure

EstimAIte shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including:

  • Natural disasters
  • Fire
  • Flood
  • Earthquake
  • War
  • Terrorism
  • Civil unrest
  • Labor disputes
  • Internet outages
  • Cloud infrastructure failures
  • Government actions
  • Power failures
  • Cybersecurity incidents affecting third-party providers

28. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

29. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to make a good-faith effort to resolve any dispute by contacting the other party in writing.

If a dispute cannot be resolved informally within thirty (30) days, either party may pursue any remedies available under applicable law, subject to these Terms.

30. Arbitration (Optional)

Optional Provision: If you decide to require arbitration instead of court litigation, replace this section with a binding arbitration clause drafted to comply with applicable federal and state law.

Until such a clause is adopted, disputes may be resolved in courts of competent jurisdiction.

31. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will update the Effective Date and, where required by law, provide additional notice through the Services or by email.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.

32. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

The invalid provision shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its original intent as closely as possible.

33. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

34. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, sale of assets, financing, or corporate reorganization.

35. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and EstimAIte regarding the Services and supersede all prior or contemporaneous agreements relating to the Services.
